<P><FONT size=4>GE Equity has announced that it has swapped its holding in SES Astra for<BR>SES' stake in AsiaSat. Currently, GE Equity and the CITIC group jointly own<BR>69% of AsiaSat stock and are also making both a scheme of arrangement<BR>proposal to buy the other 31% at HK$18.30 per share and a stock<BR>exchange-mandated general offer at HK$16.00 per share. The scheme<BR>price represents a 30% premium to the last traded price of HK$14.1 on Feb<BR>9 prior to a trading suspension. If implemented, the scheme would result<BR>in all minority shareholders selling and a de-listing; it needs 75% of<BR>minorities to vote; 75% of minorities must be in favor and 10% or fewer<BR>against. The initial timetable for completion is June 30. AsiaSat's board is<BR>forming a committee to make a recommendation to minorities.</FONT></P>
