This edited volume, Law and Economics of Organizations, is a collection of papers
which were due to be presented at the annual Law and Economics Conference in
Lucerne on the 7 and 8 of March 2025, co-organized by the University of Lucerne,
Institute for Economy and Regulation, and the Notre Dame Research Program on
Law and Market Behavior.
This conference aimed to analyze the role of organizations through a law and
economics perspective. The contributions consist of theoretical analyses based on
rational choice theory. They also include empirical, behavioral, or experimental
approaches regarding the governance, activities, and effects of organizations. The
parts address the principal-agent problem, the criminal and civil liability of corporations, sustainability and ESG, decentralized organization, DLT and blockchain, and
organizational challenges in corporate law.
We take this opportunity to thank all those who have contributed to the successful
completion of this volume. In particular, we are grateful to Sarah Bisang, BLaw,
and Natalie Woodtli, BLaw, for their diligent proofreading. Special thanks go to the
Swiss National Science Foundation (SNSF), the Research Commission (FoKo) of the
University of Lucerne, and the Lemann Foundation for supporting the conference.
