Facebook Increases Number of Shares for I.P.O.


Facebook said on Wednesday that it would offer more shares to investors when the company goes public this week, the latest sign of high demand for the eagerly anticipated offering.

In a filing with the Securities and Exchange Commission, Facebook said the number of shares for sale would be increased to 421 million, 25 percent more than it had previously planned to offer. At $38 a share, the maximum price Facebook says it plans to seek, the social networking giant’s offering would raise nearly $16 billion, making it one of the largest I.P.O.’s in history.

Facebook itself is offering 180 million shares, while existing stockholders will offer 241 million shares.

The announcement comes on the heels of an increase in the anticipated offering price, also because of investor demand. On Tuesday, the company raised the estimated price range to $34 to $38 a share, from $28 to $35 a share. The increase in the offering price values the company at as much as $104 billion.

In Asia alone, Facebook’s offering is more than 25 times oversubscribed, a person briefed on the matter said earlier this week, speaking on condition of anonymity because the discussions were private.

Facebook will easily outpace Google as the biggest Internet stock debut. Depending on the final pricing and number of shares, the company is also positioned to become the second or third largest I.P.O. ever in the United States behind Visa and possibly General Motors, according to Thomson Reuters.

Facebook is expected to price its shares on Thursday and start trading on the Nasdaq stock market on Friday. It will trade under the ticker “FB.”

Many founders sell up or sell part of their original shares after their company goes public. Maybe for this reason, Eduardo Saverin, owning 4% of the original shares, renounced his US nationality and got Singapore citizenship in aiming of avoiding the heavy capital gains tax in US.

Facebook must be a bubble, and another wave of dot bubble is coming. Everytime, one bubble burst and left us with recession, then comes, without too much notice, another sign of bubble. That is how the fed keeping the economy working and that is the reality since 1995.

Google, the former biggest internet debut is the climax of dot com in 2002, then collapse and deliver whopping punch to thousands of fund managers. This time comes facebook, the PE ratio is insane and Facebook is still suffering loss, no profit mechanism is yet found.

A joke, totally a joke

Facebook 在 IPO 文件中列出财务数字、图表、统计、亮点，并提出其战略、风险和增长预期。为此，列出大家值得关注的10大事件：

1、Facebook 规模巨大
    Facebook 每月用户数量为8.45亿人，很快将达到10亿人。其中半数以上每天都登录 Facebook。与终端用户关系如此广泛、密切的公司Facebook一家。Facebook上每天上传的“like”和评论有27亿条，每天上传的照片有2.5亿张，每天好友加入量为1000亿。

2、Facebook 营收只是一个开端
    尽管用户群巨大，但 Facebook 尚未制定出如何利用其庞大用户群创收的战略。Facebook 财务上稳步增长，但鉴于其受众规模巨大，营收应该更高。如果 Facebook 能够通过其显示广告及应用平台制定出创收战略，1000亿美元的身价估值将物有所值。

3、严重依赖 Zynga
    一般认为Zynga 依赖Facebook生存，但两者是相辅相成的关系，因为Facebook总营收的12%来自Zynga社交游戏，其中包括《Farmville》和《Words With Friends》游戏。Zynga 对 Facebook 相当重要，以致于 Facebook 在IPO 文件中将 Zynga 列在风险之列，两只关系破裂将对 Facebook营收造成重大损失。

4、Google 被视为最大威胁
    尽管 Facebook 指出微软和 Twitter 都是其竞争对手，但特别强调Google 的威胁，声称 Google 资源丰富、竞争优势突出。Google 会利用其搜索引擎、浏览器和移动平台为用户访问 Facebook 站点及服务设置障碍，也可能促销其Google+社交网络，对Facebook构成潜在威胁。

5、Facebook 需要优先考虑移动性
    Facebook 移动应用开发滞后。Facebook 承认未能通过智能手机应用创收，如果每天有更多用户使用iPhone 或 Android 智能手机登录 Facebook，这将是一个重大问题。Facebook 声称去年12月份移动活跃用户数量超过4.25亿人。

    Facebook不在应用中发布广告，这也凸显了企业面对这些应用的复杂心情：如何在不得罪用户的情况下投放广告？Facebook表示正加大移动领域投资，但需要加快步伐，因为苹果和 Google 已经在移动广告市场捷足先登。

6、营收增长放缓

7、Facebook 平台已初见成效
    借助Facebook 支付平台交易，开发者已经获得14亿美元。虽然大家看好Facebook广告潜力，但其大量营收来自Facebook 支付平台。当然，与苹果 iOS平台相比，Facebook平台收入要逊色得多。去年第四季度，开发者通过iOS 平台获得7亿美元，自 App Store 上线以来，开发者已经获得40亿美元收入。需要指出的是，Facebook 支付平台最近才上线。

8、Facebook 在亚洲地区并不火爆
    Facebook 已经覆盖全球，但在亚洲这一关键增长市场上尚未火爆。Facebook 指出大量本土社交网络和门户网站也是其竞争对手。纵观 Facebook 财务，显然该公司在全球拓展“势力范围”方面还有大量工作待做。Facebook 大部分营收仍来自美国国内。去年，Facebook 营收的56%来自美国，2010年这一数字为62%。Facebook表示，国外营收主要来自西欧、加拿大和澳大利亚。

9、Facebook IPO 融资资金将刺激创新
    正如 Google 将那些从事自己项目的人培育出一批百万富翁那样，Facebook 数十亿美元资金也将肩负起数家创业公司的发展基金使命。

10、马克·扎克伯格人身安全将备受重视
    CEO 的人身安全相当重要，鉴于扎克伯格对 Facebook 的巨大控制权，保证他的人身安全显得额外重
要。这位CEO 将得到全方位的安全保护。Facebook已经对扎克伯格采取安全措施。
