笔记 taking notes：
LBO源于产业投资者战略性投资。起初银行不愿意大批量贷款，LBO运用而生，但其本质就是贷款买企业。Henry Kravis是KKR的co-founder。Speaker做过三年leverage debt。企业不行了，liquidation还是refining with lower interest，或者找企业（white knight）来买下它。无论如何，liquidation都是最后的选择。在负债比率为60%，70%的时候，没有银行愿意贷款，之前的机构投资者（e.g. insurers之前有一些投资是不能投资的）投资于high yield bond market （junk bond），非常赚钱。《在门口的野蛮人》专门讲LBO的一本书，推荐。
进入正题。LBO在美国，先贷款，自己放一点钱进去，在之后的5－7年，用其产生的cash flow来还贷，只是投资维持性的资本支出，最后通过IPO卖掉或者找其他企业卖掉。PE的钱都来自投资者（有机构，有个人），5－7年后赚钱的话，盈利可以高达20%。中国的BIZ model有所不同。因为在境内无法做LBO，因为无法设立SPV跟银行贷款，因为中国市场上灰色地带比较多，不合规的行为影响会放大，长远来讲情况或会改变。
典型的LBO structure：企业持100元，equity，管理层都会出钱。通常会设立SPV，把钱放进去，mgmt相当于公司的成本，在美国debt push down，最后会把钱贷给operating company，因为opco有资产抵押。债务相对于股权优先偿还，违约发生的话，银行可以用抵押弥补债务损失。最后SPV和opco会合并成新的公司。
PIK，pay in kind，利息和本金都是最后还的，风险极高，类似高利贷。公司拿着每年的盈利还债。KKR, BlackRock一般都希冀20%，30%的回报率，不会target at 100%、200%这样的回报率，因为leverage太高，贷不到钱，以及市场竞争（如果太贪心，开始付的钱肯定很低，就bid不到）。
怎么赚钱：提高EBITDA——improving top line, lowering cost, margin expansion (e.g. 做汽车，提高市价，运营上，成本上，等) 在不同stage，策略不同，PE一般会投相对比较成熟的行业，有健康的现金流，有好的负债史，卖的时候看EBITDA multiple，产生盈利，卖的时候提高价格。怎么样提高倍数？买的时候要买undervalued target，买的时候不能买贵的，进去的时候已经想好卖的时候可以卖多少。有一些行业可能被低估了，比如水泥。
补充一下，在中国，LBO市场不太一样。在中国，并不是buyout而是take private，私募化。这个过程也会借贷。杠杆倍数不能特别高，因为借贷的实体在海外，所有CFs，运营资产在境内，设计很多外管和审批的问题，境内的中国公司不能给海外公司做借贷或者担保，只能靠分红，从信用风险来看，海外LBO风险很大，因为其rely on 股权。分红的时候，也要看有没有足够的retained earnings和cash，操作上问题也大。Ebitda multiple不能超过4倍。
进入model。运营需要最低现金余额，所以cash不能完全拿掉，要问公司领导要数据。Receivable + inventory – payable = NWC，很有实力的大retail，working capital是净的，像大超市，卖掉再还，是一种融资方式，生产业不会这样。
Debt中间不需要还，Bond中间需要还。Bridge loan: 过桥贷款，6个月。

Transaction comparable, unlike trading comparable, looks price paid in the M&A market, rather than stock market, as someone pay for the control of business (stake over 50%)
When we calculate multiples, what we look at is the value of deal date vs. the earnings for the prior 12 months, which is different to trading comparables. In M&A market, prices are paid in history.
